Question of Programming a Master of Orion 2 clone

If someone would program Master of Orion 2 again, and would only program the functionality without graphics and Layout, the problem would be that it is too near at MoO2. So there is a copyright problem.

How different must the clone be in comparision to the original? Is there a percentage?

If I recall correctly, the rules may be the same, the content (races, technologies, references to Orion system) - should change. :|

Or if you have observed gaming, you might have noticed a lot of companies over the years making games based on the mechanics of MoO (or any other popular game), but none making a game filled with Psylons, Darlocks etc.
